VP & General Manager - Legal Dept

Responsibilities

• Provide strategic legal and compliance leadership, acting as both a business partner and a guardian of the corporation.
• Oversee the Legal and Compliance Team in executing risk prevention and business support functions.
• Advise senior management on legal and compliance issues arising from extensive North American activities.
• Manage commercial transactions, including the preparation, review, and negotiation of contracts and M&A projects.
• Oversee litigation, arbitration, dispute resolution, and regulatory matters.
• Establish, implement, and monitor formal compliance programs, including FCPA, Antitrust, and Export/Import management systems.
• Manage corporate secretarial duties, including shareholder resolutions, board minutes, and powers of attorney.
• Coordinate compliance matters with the parent company in Japan and collaborate with internal stakeholders.

Requirements

• Member in good standing of the New York State bar.
• Law degree from a top-tier U.S. law school.
• 15+ years of international commercial and complex corporate transactions experience, including M&A.
• Business proficiency in verbal and written Japanese to analyze internal documents and consult with Japanese staff.
• Extensive experience with U.S., Canadian, and Mexican commercial laws and regulations (e.g., FCPA, CFTC).
• Proven experience managing litigation, arbitration, and regulatory compliance.
• Strong knowledge of world trade regimes and documentary requirements.

Preferred Qualifications

• Background or academic knowledge in economics and finance.
• Willingness to travel within the U.S. and internationally (Canada, Mexico, and Japan).
