Vice President, Corporate Transactions

Responsibilities

• Act as a business partner to senior management and internal constituencies providing solution-oriented legal advice and risk assessments
• Collaborate on strategic transactions including capital markets and business development activities
• Lead legal due diligence activities and negotiate transaction-related documents
• Oversee general corporate law functions including reporting, compliance, governance, and real estate
• Advise Human Resources and Finance teams on equity incentive programs
• Partner with cross-functional teams to develop communication strategies and review investor relations materials
• Work closely with the General Counsel on Board of Directors matters, including drafting resolutions and minutes
• Oversee cross-functional efforts to develop and implement company policies and procedures
• Manage outside counsel and the Legal department budget
• Maintain understanding of applicable laws and regulations to identify emerging risks

Requirements

• J.D. from a fully accredited law school
• 15+ years of industry-related experience
• 5+ years of in-house experience at a biopharmaceutical company
• Licensed to practice law in one or more U.S. states
• Experience drafting and negotiating licensing, M&A, and complex contracting arrangements
• Strong project management and analytical skills

Preferred Qualifications

• Experience in the rare diseases business sector
• Experience in the preparation and review of SEC filings and compliance
• Experience advising on investor relations matters
• Ability to manage corporate governance and secretarial duties for Board meetings
• Experience supporting capital markets transactions and equity offerings
• Knowledge of Internal Audit and SOX compliance
• Experience managing outside counsel effectively within a budget
