Vice President - Americas Loans, Leveraged Finance & ICB Legal

Responsibilities

• Provide legal counsel to the investment banking division regarding mergers and acquisitions, securities offerings, and corporate finance transactions.
• Advise on the structuring, negotiation, syndication, and post-closing management of domestic and cross-border financing transactions, including leveraged and investment-grade acquisition financings.
• Draft and negotiate complex transaction documentation, contracts, and syndication materials.
• Support the bank in legal proceedings, including litigation, arbitration, and regulatory investigations.
• Conduct legal research to stay updated on changes in laws, rules, and regulations impacting investment banking activities.
• Act as a legal advisor to transaction approval committees and develop training programs for employees on regulatory requirements.
• Manage and mitigate legal and reputational risks through proactive identification and communication of applicable laws.

Requirements

• Juris Doctor degree from an accredited law school.
• Current New York Bar qualification.
• Proven experience in bank finance at a top-tier law firm and/or financial institution.
• Demonstrated ability to draft and negotiate complex transaction documentation and legal agreements.

Preferred Qualifications

• Experience advising on trade finance transactions and payments/cash management products.
• Deep understanding of leveraged and investment-grade financing structures and market terms.
• Familiarity with US banking regulations and securities laws.
• Strong collaborative skills and ability to work effectively across multiple functions.
• Excellent written and verbal communication skills.
