Transactional Senior Counsel, Legal Business Development & Corporate

Responsibilities

• Structure, draft, and negotiate in-licensing and out-licensing of patents and know-how, research and development collaborations, and other strategic transactions.
• Advise on complex business and legal issues regarding ongoing partnerships and the integration of acquired assets.
• Develop and maintain a strong working knowledge of market terms for licensing and collaboration transactions.
• Provide legal support for drug discovery and development issues, including manufacturing, antitrust, and privacy.
• Collaborate with cross-functional teams including research, development, manufacturing, regulatory, finance, and tax.

Requirements

• United States law degree (JD) with current good standing admission to at least one US state bar.
• 7+ years of relevant practice experience, including at least 4 years of law firm experience.
• Substantial experience drafting and negotiating life sciences licensing and collaboration agreements (a deal sheet is required).
• Strong working knowledge of M&A, divestitures, and other complex business development transaction structures.
• Ability to work global working hours, including availability as early as 6 a.m. PST.

Preferred Qualifications

• Prior experience working within the pharmaceutical, biotechnology, or other life sciences industries.
