Trade & Working Capital Assistant General Counsel - Vice President

Responsibilities

• Lead legal coverage for receivables purchase programs, including program structuring and ongoing advisory support.
• Structure, document, and negotiate trade and working capital transactions, including receivables purchase documentation and related frameworks.
• Draft and negotiate loan agreements, reimbursement agreements, guarantees, and security agreements.
• Advise on trade and working capital products such as letters of credit and supply chain finance.
• Identify legal risks early and propose practical, commercial solutions aligned to client and firm objectives.
• Partner with credit, risk, and compliance teams to support approvals and documentation standards.
• Support product development initiatives and counsel on regulatory matters, including the digitization of trade products.
• Manage external counsel for jurisdiction-specific legal questions and local law support.

Requirements

• Law degree (Juris Doctor).
• Licensed attorney and member in good standing in the state in which the position is based.
• 3+ years of experience in a law firm and/or corporate legal department, focusing on commercial transactions, lending, or financial services.
• Strong drafting and negotiating skills.
• Ability to translate complex legal concepts into clear, practical guidance.
• Excellent written and verbal communication skills.
• Proven ability to collaborate with cross-functional stakeholders including credit, risk, and compliance.

Preferred Qualifications

• Prior experience in lending, including trade finance and/or bank finance.
• Experience advising on receivables purchase structures or similar receivables-backed working capital solutions.
• Experience with cross-border transactions and multi-jurisdictional documentation.
