Tax Counsel – Asset Based Finance

Responsibilities

• Lead tax and structuring workstreams for Asset Based Finance (ABF) transactions and platforms
• Negotiate and oversee tax aspects of ABF investments including credit facilities, debt offerings, and securitizations
• Advise on tax considerations such as debt characterization, ECI, REIT, and REMIC qualifications
• Develop and document tax processes and procedures using technology and AI tools
• Review transaction documentation including credit agreements, indentures, and partnership agreements
• Manage outside counsel relationships and coordinate with investment and tax reporting teams
• Monitor changes to tax reporting laws and assess impacts on existing and future funds

Requirements

• Minimum of 6 years of tax experience at a reputable law firm or nationally recognized accounting firm
• Specific understanding of tax rules for ABF, structured finance, and securitizations
• Broad familiarity with complex financial transactions, joint ventures, and tax structures
• Experience across asset classes such as residential mortgages, consumer loans, and real estate
• In-depth understanding of ECI rules relating to complex financial transactions
• Must be a licensed attorney

Preferred Qualifications

• Experience with alternative investment funds and investor considerations
• Ability to translate complex tax concepts into commercial language
• Strong strategic thinking regarding process and procedure implementation
