About the role

Responsibilities

  • Support Directors of Shell entities and senior internal stakeholders with company secretarial matters and internal governance procedures.
  • Organize and conduct Board Meetings, including drafting proposals, distributing agendas, producing minutes, and tracking action items.
  • Act as a corporate governance compliance officer to ensure global entities comply with all statutory provisions.
  • Provide advice on legal entity administration, company law, and the preparation of statutory accounts.
  • Manage company incorporations and process all necessary formalities for new entities.
  • Oversee junior team members and manage workload reallocation as priorities change.
  • Utilize automation tools and technology to improve governance processes and increase efficiency.

Requirements

  • Qualified Company Secretary (or equivalent) with at least 5 years of post-qualification experience.
  • Proven track record in subsidiary management within a global or highly matrixed multinational environment.
  • Advanced proficiency in English (native or advanced level).
  • Experience managing corporate filings across multiple jurisdictions (e.g., UK, Singapore, India, Canada, etc.).
  • Proficiency in Microsoft Power Platform (Power Automate, Power BI) and Diligent Entities.
  • Strong ability to manage senior stakeholder relationships and exercise professional judgment.

Preferred Qualifications

  • Proficiency in languages other than English.
  • Experience with GEMS, SharePoint, DocuSign, and ServiceNow.
  • Experience documenting processes and developing process manuals.
