Sr. Corporate Counsel, Securities

Responsibilities

• Own securities law compliance, corporate governance matters, and board support
• Modernize board processes, committee charters, and governance policies
• Architect and implement compliance framework for securities laws and regulations
• Collaborate with Finance and Accounting teams regarding internal controls and audit compliance
• Manage securities offerings, stock financings, and stockholder relations
• Advise on equity compensation matters including stock options and RSUs
• Negotiate corporate transactions and a broad range of commercial agreements

Requirements

• JD from an ABA-accredited law school
• 7+ years of corporate law experience
• Admitted to the bar in good standing in at least one U.S. State
• Ability to work onsite in Hawthorne, CA
• Ability to work extended hours and weekends as needed
• Must meet ITAR requirements (U.S. citizen, permanent resident, refugee, or asylee)

Preferred Qualifications

• In-house counsel experience
• Ability to register as in-house counsel in California
• Experience working for a top-tier law firm
• Experience representing mature private and public companies
• Experience with securities law compliance and complex corporate structures
