Sr Corporate Counsel

Responsibilities

• Draft, review, and negotiate commercial transactions including vendor agreements, clinical collaborations, and SaaS contracts
• Support corporate governance, Board meeting preparation, and entity management
• Partner with Finance on financing transactions and capitalization matters
• Lead Securities Exchange Act of 1934 reporting and public-company compliance (Forms 10-K, 10-Q, 8-K)
• Develop legal templates, playbooks, and processes to improve efficiency
• Implement AI-enabled tools and workflows for contract management and automation
• Provide business-oriented legal advice to cross-functional stakeholders
• Manage outside counsel regarding scope, budget, and quality

Requirements

• J.D. from an accredited law school
• Active membership in good standing of at least one U.S. state bar
• 6–8 years of relevant legal experience
• Experience in a top-tier law firm or in-house at a public company
• Expertise in drafting and negotiating commercial agreements
• Working knowledge of federal securities laws and public-company reporting
• Experience supporting an IPO or public-company reporting cycle

Preferred Qualifications

• Experience in life sciences, biotech, or technology industries
• Knowledge of data privacy and governance (CCPA/CPRA, GDPR)
• Interest in implementing AI-driven legal workflows
