Sr. Commercial Counsel

Responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements including MSAs, SOWs, NDAs, and vendor agreements
• Partner with Sales, Finance, Security, and Product teams to support revenue growth while managing risk
• Support negotiation strategy for customer, partner, and vendor agreements
• Review and negotiate data protection, privacy, and security-related contract terms
• Coordinate with outside counsel on commercial, corporate, and privacy matters

Requirements

• J.D. from an accredited law school
• 12+ years of relevant legal experience in commercial contracts or SaaS agreements
• Strong experience drafting and negotiating B2B SaaS and technology transactions
• Ability to independently manage contracts from intake through signature
• Strong business judgment and communication skills

Preferred Qualifications

• Experience supporting a cybersecurity or cloud company
• Familiarity with data protection and privacy contracting
• Experience with partner, reseller, or alliance agreements
• Experience embedding scalable legal templates and contract workflows
• Familiarity with global commercial contracting (U.S., Australia, and international)
