Senior/Executive Director, Corporate Counsel

Responsibilities

• Draft and provide counsel in support of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
• Lead corporate disclosure processes and controls to ensure accuracy and timeliness
• Assist in the preparation and review of earnings materials, press releases, and external communications
• Coordinate Board of Directors and committee materials and related governance processes
• Lead public company compliance efforts related to securities law and corporate governance
• Maintain and administer insider trading compliance programs and Rule 10b5-1 plans
• Lead the development and maintenance of corporate governance documents, policies, and procedures
• Provide legal support for equity compensation programs
• Partner with Finance, Investor Relations, and R&D to operationalize disclosure practices
• Support corporate transactions including financings, strategic collaborations, and M&A activity
• Manage and coordinate external legal counsel

Requirements

• Juris Doctor (J.D.) from an accredited U.S. law school
• 10-15 years of relevant experience in SEC reporting and public company matters
• Strong knowledge of U.S. securities laws, SEC and Nasdaq reporting requirements, and corporate governance
• Experience in a large law firm and/or in-house environment
• Ability to manage multiple priorities in a deadline-driven environment
• Strong written and verbal communication skills

• Experience in biotechnology or pharmaceutical companies
• Familiarity with clinical-stage or emerging growth companies
• Experience supporting senior leadership and Board-related processes
• Blend of law firm and in-house experience
