About the role
Responsibilities
- Support the Corporate Secretary’s office with day-to-day operations regarding public company securities reporting and corporate governance compliance
- Assist in developing materials for Board and committee meetings, including agendas, resolutions, and governance reviews
- Support the preparation and filing of SEC documents such as Forms 8-K, 10-Q, 10-K, and proxy statements
- Track insider stock holdings and assist with Section 16 reports (Forms 3, 4, and 5)
- Prepare and review D&O questionnaires and manage proxy statement timelines with third-party vendors
- Perform benchmarking and research on various securities and governance matters
- Prepare filings for NYSE compliance and serve as a primary contact for the transfer agent
- Interact with cross-functional stakeholders, including senior executives, HR, investor relations, and finance teams
- Assist in the execution of Board and committee meetings and help update legal policies for governance compliance
Requirements
- Bachelor’s degree or paralegal certificate from an accredited institution
- Minimum of 8 years of in-house corporate governance experience
- Proficiency with the Microsoft Office product suite
- Strong written and verbal communication skills
- Ability to work autonomously and proactively in a fast-paced, dynamic environment
- Excellent interpersonal skills and experience collaborating with cross-functional partners at all levels
- High attention to detail and strong organizational problem-solving skills
