About the role
Responsibilities
- Assist lawyers and clients with high-level corporate and transactional paralegal duties under minimal supervision
- Draft and file incorporation, formation, amendment, dissolution, and withdrawal documents for various entities
- Conduct UCC searches and prepare UCC-1 and UCC-3 financing statements
- Maintain organized corporate records, including ownership ledgers and state/federal filings
- Manage closings for financings, mergers, and acquisitions
- Conduct corporate diligence reviews and summarize findings
- Organize electronic data sites and manage shareholder mailings and regulatory filings
- Train and supervise other paralegals and coordinate workloads
Requirements
- 6+ years of experience as a corporate paralegal with public and/or privately held companies
- 4-year degree in a related field or equivalent (paralegal certificate or degree preferred)
- Strong knowledge of California and Delaware corporate law, federal and state securities laws, and private company M&A
- Proficiency in Microsoft Office Suite, Adobe Acrobat, and Excel
- Fluency in Carta, Shareworks, or other capitalization management platforms
- Excellent organizational, analytical, and communication skills
Preferred Qualifications
- Experience in IPO and public company matters, including beneficial ownership tables and Section 16 reporting
- Experience with secured lending
