Senior Paralegal, Corporate Securities and Governance

Responsibilities

• Prepare and review SEC filings including Forms 10-K, 10-Q, and 8-K
• Support Board and committee operations including agendas, minutes, and resolutions
• Manage disclosure controls and procedures
• Support director onboarding, training, and annual evaluations
• Assist with annual meeting logistics
• Maintain insider trading compliance and Section 16 reporting
• Assist with NYSE compliance and required submissions
• Manage domestic and international entity formalities and compliance calendars
• Prepare legal resolutions for attorney review

Requirements

• 3-5 years of experience as a corporate paralegal focused on securities or corporate governance
• Bachelor's degree from an accredited institution
• Thorough understanding of U.S. securities regulations and NYSE rules
• Experience drafting SEC filings and corporate governance documents
• Proficiency with Microsoft Office Suite
• Ability to manage complex matters and meet tight deadlines

Preferred Qualifications

• Certified Legal Assistant or Paralegal certification
• Experience in a publicly traded company (in-house or law firm)
• Experience with board software such as Diligent
• Commissioned Notary Public
