Senior Paralegal

Responsibilities

• Serve as Assistant Secretary for various BMO Financial Group subsidiaries and affiliates, including preparing agendas and drafting meeting minutes
• Maintain and update the corporate subsidiary database to ensure accurate information for all entities
• Prepare incumbency certificates and documentation related to officer signing authority
• Catalog and organize corporate records, including acquisition documents, agreements, and Board minutes
• Manage state corporate filings for U.S. subsidiaries, such as annual reports and qualifications to do business
• Lead or participate in cross-functional projects and strategic initiatives
• Review and update operations manuals, procedures, and policies to ensure compliance
• Handle sensitive and confidential information with high levels of discretion

Requirements

• 7-10 years of relevant legal or corporate governance experience
• Paralegal Certificate or equivalent on-the-job training
• Bachelor's degree
• Expertise in corporate governance and corporate secretarial matters
• Strong writing, analytical, and problem-solving abilities
• Exceptional organizational skills and ability to manage multiple deadlines
• Proficiency in collaborating with stakeholders and management at all levels
