Senior Manager, Commercial Negotiations & Deal Structuring

Responsibilities

• Own commercial negotiations across customer, EPC, supply, and strategic partner agreements
• Lead negotiations on payment structures, performance guarantees, liquidated damages, and warranties
• Identify and quantify commercial risks to develop practical alternatives that protect margins
• Partner with Sales to ensure growth targets are met without compromising risk standards
• Translate contract language into actionable business decisions for executives
• Support project financing by evaluating how terms affect economics and cash flow
• Prepare commercial risk assessments and negotiation strategies for executive review
• Lead commercial handoff into project execution to ensure all obligations are documented
• Develop playbooks, templates, and pricing tools to improve commercial consistency

Requirements

• 7+ years negotiating complex commercial agreements in energy, infrastructure, or capital-intensive industries
• Strong understanding of risk allocation, negotiation strategy, and deal economics
• Proven ability to negotiate with sophisticated counterparties
• Deep familiarity with performance guarantees, liquidated damages, warranties, and indemnification
• Excellent written and verbal communication skills
• Experience working across Sales, Finance, Legal, and Engineering teams

Preferred Qualifications

• Experience in BESS, renewable energy, data centers, or EPC contracting
• Financial modeling experience
