Senior Legal Counsel

Responsibilities

• Draft and negotiate legal documentation for Venture Capital and Growth Equity clients, including commingled funds and investment advisory relationships
• Support VC & GE fund and direct investments, both primary and secondary
• Assist in fund formation and structuring for venture capital and growth equity commingled funds and funds-of-one
• Coordinate with investment, finance, compliance, and operational due-diligence teams
• Manage outside counsel regarding fund formation and investment activity
• Review placement memoranda, partnership agreements, and legal due diligence materials
• Manage negotiation and execution of term sheets, LPAs, side letters, and equity financing documents
• Negotiate documentation for secondary purchases and sales of fund interests and startup shares

Requirements

• Juris Doctor (JD) degree
• Three years of experience as a Legal Associate specializing in SEC regulations within Venture Capital or Growth Equity
• Membership in good standing with the New York State Bar
• Expertise in U.S. Securities Law (Securities Act of 1933, Investment Advisers Act, and Investment Company Act)
• Experience with offshore entity operational issues and Cayman Islands securities filings
• Proficiency in finance and accounting concepts including waterfall modeling and management fee modeling
• Experience advising on fundraising exceeding $100 million with global investors
• Knowledge of ERISA and SEC Rules & Regulations
• Two years of experience evaluating deal/securities risk and coordinating the full lifecycle of VC funds
