Senior Legal Counsel - Securities & Corporate Governance

Responsibilities

• Lead public company compliance requirements and SEC filings
• Manage government reporting on various compliance matters
• Review all contracts including supply chain, consulting, and securities purchase agreements
• Counsel management on legal and ethical compliance laws and governance
• Develop and implement comprehensive legal and ethical compliance programs
• Implement and manage compliance policies, protocols, and training
• Audit company procedures and practices to identify potential risks
• Investigate allegations of legal and ethical compliance violations
• Manage other legal functions including IP and labor

Requirements

• Juris Doctor (J.D.) degree from an accredited law school
• Active membership in good standing with at least one U.S. state bar
• Minimum 10 years of relevant legal experience supporting public companies
• Experience in high-tech consumer electronics, internet AI, or automotive industries
• Proven experience managing SEC reporting obligations (Forms 10-K, 10-Q, 8-K, etc.)
• Strong background in drafting and negotiating commercial agreements
• Experience conducting internal investigations and compliance audits
• Deep understanding of the Securities Act of 1933 and Securities Exchange Act of 1934

Preferred Qualifications

• Additional certifications in corporate compliance, governance, or securities law
• Exposure to intellectual property, employment law, and litigation management
• Experience with public company readiness or supporting newly public companies
• Fluency in Mandarin
