Senior Legal Counsel

Responsibilities

• Draft, review, and negotiate a variety of agreements including SaaS/PaaS master licensing, software licensing, global partner agreements, and procurement contracts.
• Review contract terms such as limitation of liability, intellectual property indemnity, license grants, and warranties to ensure consistency with company policies.
• Support sales and business teams during the RFP process and on contract terms requiring specific approval.
• Manage high-value deal cycles from end to end, working with enterprise-level clients and multiple internal stakeholders.
• Identify red flag risk areas and work with business teams to seek appropriate approvals to protect the company from unnecessary liabilities.
• Contribute to special projects involving privacy, data protection, litigation, employment, and M&A.
• Test and adopt AI tools to improve the efficiency and quality of legal work.

Requirements

• Qualified lawyer licensed to practice law and in good standing in any jurisdiction.
• Proven experience in SaaS, PaaS, or software licensing, preferably within a corporate legal department.
• Strong analytical, contract formation, drafting, and negotiation skills.
• Experience managing high-value deal cycles and working with enterprise-level clients.
• Experience supporting international or cross-border transactions, ideally within the EMEA region.
• Ability to identify key risks and policy issues in transactional situations.
• Basic understanding of software intellectual property law and practices.
