About the role
Responsibilities
- Assist in the creation of a compliant legal system suitable for a public company
- Lead public company compliance requirements and SEC filings
- Manage government reporting on various compliance matters
- Review all contracts including supply chain, consulting, securities purchase agreements, and NDAs
- Counsel management on legal and ethical compliance, regulations, and governance
- Develop and implement comprehensive legal and ethical compliance programs and training
- Manage legal functions supporting internal operations including IP and labor
- Audit company procedures and practices to identify potential risks
- Investigate allegations of legal and ethical compliance violations
Requirements
- Law degree (J.D.) from an ABA-accredited institution
- Membership in good standing with the California state bar
- Minimum 10 years of legal experience
- Experience in high-tech consumer electronics, internet AI, or automotive industries
- Strong knowledge of securities laws (Securities Act of 1933 and Securities Exchange Act of 1934)
- Experience with SEC filings (Forms 8-K, 10-Q, 10-K, registration statements, proxy statements)
- Experience drafting and negotiating commercial agreements and strategic business contracts
- Ability to collaborate with cross-functional teams like Supply Chain, Engineering, and HR
Preferred Qualifications
- Intellectual property and litigation experience
- Experience responding to employment-related inquiries and subpoenas
- Strong knowledge of employment and labor law
- Experience assisting with internal investigations and maintaining legal privilege
- Fluency in Mandarin
