Senior Legal Counsel - Corporate & Compliance

Responsibilities

• Lead public company compliance requirements and SEC filings
• Manage government reporting on various compliance matters
• Review all contracts including supply chain, consulting, and securities purchase agreements
• Counsel management on legal and ethical compliance, regulations, and governance
• Develop and implement comprehensive legal and ethical compliance programs and training
• Manage legal functions supporting internal operations including IP and labor
• Audit company procedures and practices to identify potential risks
• Investigate allegations of legal and ethical compliance violations

Requirements

• Juris Doctor (J.D.) degree from an accredited law school
• Active membership in good standing with at least one U.S. state bar
• Minimum 10 years of legal experience, including in-house or top-tier law firm experience
• Demonstrated experience with public company compliance and corporate governance
• Strong experience drafting and negotiating commercial agreements (NDAs, supply chain, technology transactions)
• Experience counseling on labor and employment law and conducting internal investigations
• Experience in manufacturing, technology, life sciences, or other regulated industries

Preferred Qualifications

• Experience managing SEC filings (Forms 10-K, 10-Q, 8-K, proxy statements)
• Experience assisting a private company with public company readiness
• Experience managing outside counsel
• Fluency in Mandarin
