Senior Legal Counsel, Capital Markets

Responsibilities

• Support ongoing public-company and listing compliance obligations for a Nasdaq-listed issuer, including SEC reporting and corporate governance
• Advise on equity and debt capital markets transactions, including public/private offerings and convertible securities
• Support project and infrastructure financing for data centers, including negotiation of facility agreements and security arrangements
• Lead and support M&A, joint ventures, strategic investments, and corporate reorganizations
• Provide legal advice to finance, treasury, and investor relations teams on securities laws and cross-border transaction structuring

Requirements

• Law degree (LL.B., J.D., or equivalent) from an accredited law school
• 8+ years of post-qualification legal experience
• Experience in a leading law firm, investment bank, or in-house capital markets department
• Hands-on experience with equity/debt offerings, project financing, and M&A
• Working knowledge of US securities laws and SEC reporting requirements
• Admission to the Singapore Bar or another relevant common law jurisdiction (e.g., NY or England and Wales)
• Strong legal drafting, analytical, and stakeholder management skills
