Senior Counsel, Securities

Responsibilities

• Lead the preparation, review and filing of SEC reports and disclosures, including Forms 10-Ks, 10-Qs, 8-Ks, Registration Statements, and other security filings
• Assist in the preparation of proxy statements and coordinate logistical matters for stockholder meetings
• Advise on insider trading policies, pre-clearance procedures, trading windows, and Rule 10b5-1 plans
• Review Section 16 filings (Form 3, 4, and 5)
• Provide legal support to Investor Relations, Communications, and Marketing teams on external communications to ensure compliance with Regulation FD and securities laws
• Monitor developments in securities laws and assist in developing employee training
• Provide ad-hoc legal advice on corporate governance and other legal matters

Requirements

• Juris Doctor (J.D.) degree from an accredited law school
• Active bar membership in good standing in at least one US state
• 5-8+ years of relevant experience practicing securities law at a law firm or in-house at a US public company
• Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC rules, and Nasdaq listing rules
• Excellent written and verbal communication skills
• Highly organized and detail-oriented

• Experience in the technology industry, particularly with SaaS or cloud computing business models
