Senior Counsel, Corporate Securities & Governance

Responsibilities

• Ensure compliance with federal and state securities laws, Nasdaq compliance, Regulation FD, and insider trading
• Prepare and review SEC filings including Form 10-Ks, 10-Qs, 8-Ks, SDs, proxy statements, and Section 16 filings
• Support the board of directors and committees through preparation of meeting materials, minutes, and governance documents
• Advise on SEC and Nasdaq listing standard developments and investor voting guidelines
• Review quarterly earnings releases, investor presentations, and external communications
• Coordinate logistics and documentation for annual meetings of stockholders
• Advise on executive compensation matters and support the administration of employee compensation benefits
• Assist with Hart-Scott Rodino Act compliance and filings
• Collaborate with finance, accounting, tax, and HR departments to implement process improvements

Requirements

• J.D. from an accredited law school
• Active membership in a U.S. state bar (California preferred)
• 8+ years of experience in a law firm and corporate in-house legal department
• Substantive experience drafting and filing SEC forms (10-K, 10-Q, 8-K, 3, 4, 5, SD)
• Experience supporting a Corporate Secretary's office for a public company
• Strong ability to manage multiple time-sensitive workstreams independently

Preferred Qualifications

• Semiconductor or AI industry knowledge
