Senior Counsel - Corporate Compliance

Responsibilities

• Provide high-level legal and operational support to the Chief Legal Officer regarding corporate governance and compliance
• Maintain corporate books, minutes, resolutions, and governance records
• Prepare board and committee meeting materials, including agendas and minutes
• Develop, implement, and manage the company’s compliance program and training materials
• Manage domestic and international entity formation, maintenance, and dissolution
• Provide commercial contract drafting and review support
• Evaluate risk and identify issues across internal processes and commercial activities

Requirements

• Juris Doctor Degree
• Licensed to practice law in an applicable state
• Minimum 8 years of legal experience (10–12 years preferred)
• Experience in construction law practice or a corporate legal department
• Experience with design and construction contract negotiation
• Strong writing, communication, and problem-solving skills

Preferred Qualifications

• Experience managing corporate governance and board support
• Experience driving compliance program execution
• Proven leadership and presentation skills
