Senior Counsel - Corporate Compliance

Responsibilities

• Provide high-level legal and operational support to the Chief Legal Officer (CLO)
• Manage corporate governance, board administration, and entity management
• Develop and implement company compliance programs, policies, and training
• Prepare board and committee meeting materials, including agendas and minutes
• Manage domestic and international entity formation and maintenance
• Support commercial contract drafting and review to ensure consistency with corporate standards
• Evaluate risk and recommend mitigation steps for internal processes

Requirements

• Juris Doctor (JD) degree
• Licensed to practice law in an applicable state
• Minimum 8 years of legal experience (10–12 years preferred)
• Experience in construction law or a corporate legal department
• Experience with design and construction contract negotiation
• Strong writing, communication, and problem-solving skills
• Experience in corporate governance and board support
