Senior Counsel, Commercial

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including customer agreements, vendor contracts, strategic partnerships, and technology licensing agreements
• Collaborate closely with sales, procurement, finance, and business operations to structure deals
• Develop and refine contract playbooks, templates, and department infrastructure and tools
• Take ownership of legal process improvements and help define how commercial legal work gets done, including the use of AI tools
• Train and empower internal stakeholders on contract processes, risk awareness, and self-service tools
• Support strategic initiatives including real estate transactions, M&A diligence, and contract management system enhancements

Requirements

• J.D. from an accredited law school
• Active membership in at least one U.S. state bar (California preferred)
• 8+ years of relevant legal experience in commercial transactions
• Experience in a law firm and/or in-house legal department
• Strong collaboration and relationship-building skills
• Pragmatic judgment balancing legal risk against business opportunity
• Exceptional communication skills

Preferred Qualifications

• Experience in semiconductor, hardware, and AI/cloud infrastructure
