Senior Counsel, Capital Markets

Responsibilities

• Support complex corporate transactional matters including capital markets, M&A, and strategic investments
• Draft, negotiate, and review transaction documentation
• Provide advice on deal structuring and strategy
• Conduct and support due diligence and ongoing compliance
• Partner with Corporate Development and cross-functional teams to execute transactions
• Manage post-closing obligations
• Work efficiently with outside counsel

Requirements

• J.D. from an ABA accredited law school
• Active admission in at least one state bar (NY, NJ, CA, DC, or WA preferred)
• 5+ years of relevant transactional experience in capital markets, M&A, and securities
• In-house experience at a high-growth tech or publicly traded company
• Prior experience at a top law firm
• Strong interpersonal and communication skills
• Advanced problem-solving and legal interpretation skills

• Experience advising on sophisticated corporate transactions and strategic investments
• Ability to balance legal risk mitigation against business objectives
• Experience in fast-paced, high-growth environments
