About the role

Responsibilities

  • Provide comprehensive legal and administrative support for corporate transactions, including drafting and managing corporate documents.
  • Conduct due diligence, coordinate filings, and leverage AI tools like KIRA and Harvey to prepare diligence matrices.
  • Prepare organizational documents, stock certificates, stock ledgers, and capitalization tables.
  • Manage U.S. state qualifications, name reservations, merger documents, and dissolutions.
  • Support transaction closings by preparing signature packets and final executed documents using iManage Closing Folders.
  • Handle SEC filings, including Form D, blue sky filings, and generating EDGAR filing codes.
  • Coordinate notarization, apostillization, and post-closing requirements such as tracking collateral and deadlines.

Requirements

  • Bachelor's Degree required.
  • Minimum 10 years of relevant experience in an AmLaw 100 law firm.
  • Strong analytical, reasoning, and organizational skills with high attention to detail.
  • Excellent written and verbal communication skills, with comfort in client-facing situations.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Ability to work overtime as needed.
  • Proficiency with Microsoft Word, Excel, Outlook, and Adobe.

Preferred Qualifications

  • Paralegal certificate from an ABA-approved program.
  • Notary public designation.
  • Experience with Carta software.
