About the role

Responsibilities

  • Provide comprehensive legal and administrative support for corporate transactions, including drafting and managing corporate documents.
  • Conduct due diligence, including coordinating UCC, tax lien, and bankruptcy searches.
  • Leverage AI tools such as KIRA and Harvey to prepare diligence matrices.
  • Prepare initial drafts of corporate organizational documents, stock certificates, and capitalization tables.
  • Manage U.S. state qualifications, registrations, and filings for various jurisdictions.
  • Support transaction closings by preparing signature packets and final executed documents using iManage Closing Folders.
  • Handle SEC filings, including Form D, blue sky filings, and generating EDGAR filing codes.
  • Track and manage post-closing deadlines and collateral requirements.

Requirements

  • Bachelor's Degree required.
  • Minimum 10 years of relevant experience in an AmLaw 100 law firm.
  • Proficiency in Microsoft Office (Word, Excel, Outlook) and Adobe.
  • Strong analytical, reasoning, and organizational skills.
  • Excellent written and verbal communication skills.
  • Ability to work overtime as needed in a fast-paced environment.

Preferred Qualifications

  • Paralegal certificate from an ABA-approved program.
  • Notary Public designation.
  • Experience with Carta software.
