Senior Corporate Paralegal

Responsibilities

• Maintain corporate records and minute books
• Support quarterly Board of Directors and committee meetings
• Coordinate with Finance, People, and outside counsel on equity administration
• Maintain entity good standing, foreign qualifications, and annual filings
• Operate the Corporate Compliance Program and administer the Integrity Line
• Support third-party risk and sanctions programs
• Maintain company policies and partner with People for compliance training
• Provide backup support for contract management and privacy workflows

Requirements

• 5+ years of paralegal experience
• In-house experience at a private, venture-backed, or pre-IPO company
• Working knowledge of Delaware corporate governance
• Experience with private-company equity administration (Carta or comparable)
• Strong document management and version control skills
• Excellent project management and organization
• Bachelor's degree or equivalent experience

Preferred Qualifications

• Familiarity with FCPA/UK Bribery Act and OFAC sanctions
• Experience with Carta
• Experience supporting UK entity administration
• Experience with privacy program operations (GDPR/CCPA)
• Experience with contract lifecycle management tools
• Notary commission
