Senior Commercial Counsel

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements including enterprise SaaS MSAs, DPAs, SLAs, SOWs, and channel/reseller agreements
• Lead complex, multi-threaded negotiations with enterprise customers and strategic partners
• Own channel partner work, including structuring reseller, MSP, OEM, and alliance agreements
• Advise sales, product, security, and finance teams on commercial strategy, legal risk, and privacy
• Design AI-enabled workflows for the contracting lifecycle, such as clause detection and redline accelerators
• Partner with Privacy and Security teams on global data protection issues like GDPR and CCPA/CPRA
• Improve deal processes, contract templates, and negotiation playbooks to increase velocity
• Manage outside counsel on specialized matters and support M&A diligence

Requirements

• JD (or equivalent) and bar admission in good standing in at least one U.S. state
• 7+ years of experience negotiating complex B2B SaaS/technology transactions
• Significant in-house experience at a growth-stage or enterprise software company
• Expertise in privacy (GDPR, CCPA/CPRA) and information security terms (SOC 2/ISO)
• Hands-on experience with channel partner agreements and partner program constructs
• Practical familiarity with AI-enabled contracting workflows or legal ops automation

Preferred Qualifications

• Background in cybersecurity, identity, or infrastructure software
• Experience with public-sector terms or specialized frameworks
• Familiarity with EU and global regulatory trends and emerging AI-related contracting
• Experience with CLM and legal ops tooling, data models, and reporting
