Senior Attorney – Corporate Law

Responsibilities

• Provide day-to-day legal support across commercial, corporate, compliance, and operational matters.
• Draft, review, and negotiate a wide range of agreements, including government prime contracts, subcontracts, OTAs, BAAs, and commercial customer contracts.
• Advise internal stakeholders on FAR/DFARS compliance, public contract formation, flowdowns, and intellectual property rights.
• Support export control and regulatory compliance, including ITAR, EAR, CUI, and NIST 800-171 obligations.
• Assist with corporate governance, including board materials, resolutions, and entity management.
• Support legal diligence and governance workstreams associated with IPO readiness, financing events, and strategic transactions.
• Partner with supply chain and program teams on subcontracting strategy and risk mitigation.

Requirements

• JD from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 7+ years of relevant legal experience, including in-house or law firm experience supporting government contracts.
• Demonstrated experience with U.S. government contracting, specifically FAR/DFARS and proposal/solicitation review.
• Experience supporting companies in the aerospace, defense, aviation, or space sectors.
• Strong drafting, negotiation, and risk assessment skills within highly regulated environments.

Preferred Qualifications

• In-house legal experience at an aerospace, defense, or pre-IPO technology company.
• Experience with IPO readiness, securities law support, and public-company preparation.
• Familiarity with OTAs, non-traditional defense contracting vehicles, and trade compliance.
• Knowledge of cybersecurity and data protection compliance in government contracting.
