Founded in 1981 to partner with visionary entrepreneurs, Novacap focuses on middle market companies in four core sectors: Technologies, Industries, Financial Services and Digital Infrastructure.

Responsibilities

  • Support the financial and tax due diligence process, including coordinating with and overseeing third-party advisors
  • Participate in the review of M&A legal documentation including IOIs, LOIs, and purchase and sale agreements
  • Prepare and review purchase price calculations, including post-closing adjustments
  • Prepare and review transaction waterfall analyses and funds flow documentation
  • Support 100-day integration planning and onboarding portfolio companies onto the monitoring platform

Requirements

  • Bachelor’s degree in finance, Accounting, or a related field
  • CPA designation
  • 5 to 8 years of relevant experience in financial due diligence or M&A
  • Strong accounting foundation (quality of earnings, net debt, working capital, purchase price adjustments)
  • Effective project management skills
  • Experience with transaction-related tax matters
  • Bilingual proficiency (spoken and written)

Preferred Qualifications

  • Master of Business Administration (MBA)
  • CFA or CBV designation
  • Familiarity with M&A legal documentation
