Responsibilities
- Advise deal teams on structuring, drafting, and negotiating financing and outcome-contingent agreements
- Serve as a strategic thought partner throughout the deal lifecycle
- Draft and negotiate fund documentation, investor agreements, and private placement memoranda
- Form and manage special purpose vehicles for impact investments
- Conduct legal due diligence and draft investment agreements
- Oversee corporate governance and entity management for the nonprofit parent and 20+ subsidiaries
- Manage the organization’s RIA compliance program, including policies, testing, and regulatory filings
- Collaborate with internal and external counsel on transactional and fund matters
Requirements
- J.D. and active license to practice law in a U.S. jurisdiction
- Minimum of 8 years relevant legal experience
- Background at a major law firm or equivalent in-house experience
- Foundation in fund formation/management, transactional work, and financial regulation
- Ability to quickly master unfamiliar legal areas
