Responsibilities

  • Advise deal teams on structuring, drafting, and negotiating financing and outcome-contingent agreements
  • Serve as a strategic thought partner throughout the deal lifecycle
  • Draft and negotiate fund documentation, investor agreements, and private placement memoranda
  • Form and manage special purpose vehicles for impact investments
  • Conduct legal due diligence and draft investment agreements
  • Oversee corporate governance and entity management for the nonprofit parent and 20+ subsidiaries
  • Manage the organization’s RIA compliance program, including policies, testing, and regulatory filings
  • Collaborate with internal and external counsel on transactional and fund matters

Requirements

  • J.D. and active license to practice law in a U.S. jurisdiction
  • Minimum of 8 years relevant legal experience
  • Background at a major law firm or equivalent in-house experience
  • Foundation in fund formation/management, transactional work, and financial regulation
  • Ability to quickly master unfamiliar legal areas
