Securitization Senior Legal Counsel – Vice President

Responsibilities

• Provide legal coverage to the Corporate and Investment Banking (CIB) Securitized Products Group regarding banking, lending, and capital markets transactions.
• Review, negotiate, and draft deal documents including loan agreements, repo agreements, offering documents, underwriting agreements, and term sheets.
• Advise the CIB on its Securitized Products business, including roles as underwriter, structurer, arranger, book runner, and placement agent.
• Monitor and advise on U.S. securities laws (such as the '33 and '34 Acts), U.S. banking laws, and other applicable state and federal regulations.
• Manage special projects and provide coverage for other legal business lines as necessary.

Requirements

• J.D. degree and Bar admission in good standing.
• At least 4 years of relevant legal experience at a law firm or in-house at a financial services firm.
• Substantive knowledge of RMBS, CMBS, ABS, and CLOs.
• Strong proficiency in MS Office suite.
• Excellent oral and written communication skills with high attention to detail.
• Ability to work independently and prioritize multiple tasks under tight deadlines in a fast-paced environment.

Preferred Qualifications

• Knowledge of residential whole loan trading.
• Based in or near New York City.
