Securities Associate/Of Counsel

Responsibilities

• Advise public companies on SEC reporting obligations
• Draft periodic reports under the Securities Exchange Act of 1934, including Form 10-Ks, Form 10-Qs, and Form 8-Ks
• Manage Section 16 filings and proxy statements
• Handle filings and issues arising under the Securities Act of 1933, including IPOs, secondary offerings, and shelf registrations
• Advise clients on corporate governance and stock exchange listing requirements

Requirements

• 4+ years of substantial experience with federal and state securities laws
• Significant experience drafting periodic reports and advising public companies
• Experience with SEC reporting obligations for directors, officers, and shareholders
• Outstanding writing, research, and analytical skills
• Strong academic credentials
• Admitted and in good standing with the local state bar or eligible to waive in
