About the role
Responsibilities
- Support the preparation, review, and filing of SEC reports, including Forms 10-K, 10-Q, and 8-K
- Manage the annual proxy statement and shareholder meeting workstreams
- Oversee Section 16 compliance for directors and officers, including Forms 3, 4, and 5
- Administer insider trading compliance processes, including trading windows, blackouts, and 10b5-1 plans
- Partner cross-functionally with Finance, Accounting, Investor Relations, HR, and Treasury to support disclosure needs
- Manage legal entity tasks and routine subsidiary governance, such as minutes and consents
- Support Board and committee processes, including the preparation of materials and resolutions
- Assist with corporate governance maintenance and updates to committee charters and guidelines
- Provide legal support to Treasury on corporate finance matters, including letters of credit and intercompany loans
Requirements
- Attorney qualified to practice law in at least one U.S. state
- Law degree from a reputable law school
- 4-6 years of legal practice experience with a top law firm or public company legal department
- Proven experience with periodic reporting and disclosure (10-K, 10-Q, 8-K) or proxy statement drafting
- Knowledge of Section 16 reporting and insider trading compliance concepts
- Familiarity with corporate governance frameworks and exchange listing standards
- Strong written and verbal communication skills with the ability to interact across a complex matrix organization
- Excellent project management skills and the ability to manage multiple deadlines

- Experience working on treasury matters, such as letters of credit, parent guaranties, and intercompany loans
