Prime Services Negotiator VP

Responsibilities

• Draft, negotiate, and execute capital markets contract documentation to support Prime Services and Prime Derivative Services businesses.
• Manage a suite of agreements including cash prime brokerage, futures, OTC clearing, ISDA master agreements, Intermediation agreements (FXPBA), repurchase agreements (GMRA/GMSLA), and stock lending agreements (MSLA).
• Oversee transactional processes to ensure compliance with applicable laws, regulations, and internal policies to manage legal and reputational risks.
• Coordinate with internal and external stakeholders, including legal counsel and credit risk management, to ensure timely transaction execution.
• Provide transaction support through the preparation of summaries and conducting due diligence.
• Advise senior stakeholders on risk, controls, and legal requirements.

Requirements

• Extensive experience with capital markets contract documentation, specifically drafting and negotiating prime services agreements.
• Proven experience working within prime services, prime derivatives services, or related financing businesses.
• Strong legal analysis skills and the ability to interpret complex regulatory requirements.
• Exceptional written and oral communication skills.
• Demonstrated capability to manage complex negotiations and execute documentation under tight timelines.

Preferred Qualifications

• Ability to advise senior management on functional and cross-functional impacts.
• Experience in developing and implementing transaction processes and procedures to ensure consistency and efficiency.
