Paralegal, Corporate

Responsibilities

• Support the management of domestic and international subsidiaries, including maintaining corporate records and databases
• Prepare and file corporate documentation, such as articles of incorporation, bylaws, board resolutions, and powers of attorney
• Coordinate with internal stakeholders in Legal, Finance, Tax, Treasury, and HR, as well as external counsel and agents
• Assist with Board and Committee meeting preparation, including drafting agendas, minutes, and managing materials via board portals
• Maintain and update corporate governance records to ensure compliance with laws and internal policies
• Track and manage corporate filings, registrations, and certifications across various jurisdictions
• Support contract administration processes, including routing, tracking, and maintaining executed agreements

Requirements

• 5–7 years of paralegal experience in a corporate legal department or law firm, focusing on corporate governance
• Bachelor’s degree and/or Paralegal Certification
• Fully bilingual in Spanish and English
• Experience managing corporate entities and maintaining records across multiple jurisdictions
• Demonstrated experience tracking and managing a high volume of contracts and legal documentation
• Proficiency in Microsoft Office (Excel, Word, Outlook, Teams) and Adobe Acrobat
• Strong organizational skills and the ability to manage multiple priorities under tight deadlines
