Paralegal – Corporate

Responsibilities

• Assist attorneys in all phases of private equity, M&A, and corporate transactions
• Coordinate the preparation of corporate documentation, including board minutes and statutory registers
• Conduct legal and corporate due diligence, manage virtual data rooms, and prepare diligence reports
• Prepare and maintain closing checklists, transaction bibles, and coordinate statutory filings
• Support transaction closings by managing signature packets and assembling final executed documents
• Track and manage post-closing deliverables and deadlines
• Conduct legal and company research to support team advice
• Liaise with clients, counterparties, internal teams, and external advisers

Requirements

• Bachelor’s degree
• Excellent organizational skills with strong attention to detail
• Strong written and verbal communication skills
• Ability to multitask and manage competing priorities under tight deadlines
• Proficiency in Microsoft Word, Excel, Outlook, and Adobe Acrobat
• Ability to work independently and as part of a team
• Willingness to work additional hours, including evenings and weekends, as transaction demands require

Preferred Qualifications

• Relevant experience as a Paralegal or Legal Assistant within a corporate, M&A, or private equity team
• Familiarity with document management systems (e.g., iManage)
• Experience with virtual data room platforms and AI-assisted due diligence tools
