M&A Counsel

Responsibilities

• Own and execute all legal aspects of M&A transactions internally from LOI through closing and post-closing
• Draft, review, and negotiate purchase agreements, ancillary documents, and disclosure schedules
• Act as the primary legal partner for investment and operations teams, providing guidance on deal structure and risk
• Lead internal legal due diligence across corporate, commercial, employment, IP, and regulatory areas
• Leverage AI tools to accelerate contract review, due diligence, and document drafting
• Manage external legal counsel on specialized matters such as tax, employment, and IP
• Handle post-closing obligations including working capital adjustments, indemnification claims, and integration matters

Requirements

• J.D. from an accredited law school and member in good standing of a bar (California or Ontario preferred)
• 3–5 years of M&A experience at a top-tier law firm or in a transactionally heavy in-house role
• Proven ability to independently run M&A transactions end-to-end
• High proficiency with AI tools for legal work and a desire to integrate AI into legal workflows
• Strong knowledge of U.S. and/or Canadian M&A legal frameworks
• Ability to operate in a fast-paced, high-volume deal environment
• Excellent communication skills to translate complex legal concepts for non-legal partners

Preferred Qualifications

• Experience with vertical market software, SaaS, or technology-focused M&A transactions
