Responsibilities

• Own transactions end-to-end: Draft and negotiate deal related documents such as LOIs, purchase agreements, merger agreements, and disclosure schedules
• Drive diligence and closings: Scope diligence, coordinate workstreams, manage timelines, and run clean closings
• Advise clients on structure, risk, and trade-offs grounded in deal reality and growth goals
• Support the full company lifecycle including venture rounds, restructurings, and commercial contracts
• Supervise junior attorneys and paralegals while standardizing templates and playbooks
• Serve as outside in-house counsel for recurring clients

Requirements

• J.D. from an accredited law school
• Admitted and in good standing in at least one U.S. jurisdiction (NY preferred)
• 4+ years at a top Big Law firm with 3+ years focused on M&A for private companies
• Expert drafting skills in SPAs, APAs, merger agreements, and related deal documents
• Strong project management skills and clear client communication
• Comfort with cap table tools and data rooms

Preferred Qualifications

• Experience in tech/VC environments
• Exposure to tax, IP, privacy, employment, or regulatory issues common in tech deals
• Experience with RWI (Representations and Warranties Insurance)
