Legal Senior Counsel

Responsibilities

• Draft, review, and negotiate a variety of agreements including sales, service, subcontract, software, procurement, and non-disclosure agreements.
• Review contract terms such as limitation of liability, intellectual property indemnity, license grants, and warranties to ensure consistency with company policies.
• Support sales and business teams during the RFP process and on contract terms requiring specific approvals.
• Coordinate contract reviews across product, services, and finance departments to support client needs.
• Manage contract template revisions and provide guidance on contract interpretation and translation.
• Identify and mitigate "red flag" risk areas, working closely with business teams to seek appropriate approvals and protect the company from unnecessary liabilities.

Requirements

• Juris Doctor (JD) degree.
• Licensed to practice law and in good standing in any jurisdiction.
• 10+ years of relevant legal experience, specifically covering the India and APAC regions.
• Proven experience in software licensing, preferably within a corporate legal department.
• Strong analytical, contract formation, drafting, and negotiation skills.
• Ability to identify key risks and policy issues in complex transactional situations.
• Basic understanding of United States software intellectual property law and practices.
