Legal Documentation Negotiator

Responsibilities

• Lead the end-to-end documentation process including drafting, reviewing, negotiating, and executing CDEA, ISDA/CSA, and regulatory initial margin documents.
• Negotiate a full suite of Reg IM documentation, such as bilaterals, Account Control Agreements (ACAs), and Eligible Collateral Schedules (ECS).
• Manage repo documentation negotiations, including MRAs, SIFMA cleared repo documentation, and ECS.
• Develop and execute complex negotiation strategies for high-profile clients, including major banks and funds.
• Advise on and negotiate commodity transaction documents such as EFETs, NAESBs, and Power Purchase and Sale Agreements.
• Review legal opinions regarding netting and collateral enforceability and liaise with external counsel.
• Mentor and coach junior team members while identifying process improvements to manage risk.

Requirements

• Bachelor's degree and/or JD.
• Minimum of 3 years of experience in a legal or trading documentation role (Credit, Risk, Treasury, or Law Firm).
• Proven experience negotiating repo documentation (MRAs) and Reg IM documentation (bilaterals, ACAs, ECS).
• Solid knowledge of UMR (Uncleared Margin Rules) Phase 6 and/or 7.
• Strong proficiency in IT and ability to adapt to various databases and systems.
• Excellent organizational skills and the ability to handle complex legal documents under pressure.

Preferred Qualifications

• Experience with repurchase, securities lending, or prime services documentation.
• Knowledge of various legal entities including funds, insurance companies, and pensions.
• Additional language skills in French, German, Italian, or Spanish.
• Commercial acumen regarding derivatives, commodities, and prime brokerage products.
