Responsibilities

• Draft, review, analyse, and negotiate commercial contracts including technology licensing, SaaS, MSAs, BAAs, and NDAs
• Work closely with worldwide sales and revenue teams to negotiate customer contracts and data processing addenda
• Create and implement policies and procedures for contract management training
• Develop expertise in data privacy and security to serve as an in-house resource
• Provide legal advice on international growth, compliance, regulatory, and competition law issues across India, North America, and Europe
• Lead contract negotiations ensuring compliance with company policies and industry standards
• Develop and implement compliance programs and maintain compliance trackers

Requirements

• 5-8 years of experience in negotiating enterprise software and SaaS agreements
• Substantial experience in software licensing and strategic partnerships
• Demonstrated knowledge of data privacy regulations including GDPR, CCPA, and HIPAA
• Corporate generalist experience in IP protection, dispute resolution, and corporate governance
• Ability to provide practical guidance balancing business goals and legal risk
• Ability to distill complex legal issues into understandable business terms
• Willingness to work across time zones
