Legal Counsel – Finance and Corporate Development

Responsibilities

• Execute corporate financing and capital markets transactions including revolving credit facilities and asset-backed term loans
• Draft, review, and negotiate term sheets and definitive agreements such as credit agreements and security packages
• Support due diligence and manage document flow and closing logistics
• Assist with ongoing covenant compliance and entity management
• Collaborate cross-functionally with Finance, Cloud Sales, and Digital Infrastructure teams

Requirements

• Juris Doctor (J.D.) from an accredited law school
• Active bar admission in any state
• 7-10 years of transactional legal experience in complex corporate and finance transactions
• Expertise in drafting and negotiating loan or financing documentation
• Strong business judgment and ability to balance legal risks with commercial objectives
• Proficiency with Google Workspace, Microsoft Office, and AI tools

Preferred Qualifications

• Prior experience at a startup, AI company, or digital infrastructure firm
• Understanding of real estate transactions, construction finance, and project development
• Experience working with investment banks, capital markets desks, or institutional lenders
