Legal Counsel - Commercial

Responsibilities

• Lead the drafting, structuring, and negotiating of complex commercial contracts with automotive OEMs, AV startups, and other partners
• Act as a trusted advisor to the leadership team on legal matters critical to business growth
• Collaborate cross-functionally with Sales, Finance, Product, and Engineering teams
• Support activities related to IP, Product, and Compliance
• Create legal forms, playbooks, and training to improve scalability and risk mitigation
• Develop and implement scalable legal operations processes and tools

Requirements

• 5+ years of experience structuring, drafting, and negotiating complex commercial agreements (software licenses, strategic partnerships, joint development)
• Experience negotiating IP and material contract representations in financings (stock purchase, merger, asset purchase agreements)
• J.D. degree from an accredited law school
• Active membership in at least one state bar
• Ability to travel up to 20%
• Exceptional organizational skills and ability to thrive in a fast-paced environment

Preferred Qualifications

• Combination of law firm and in-house experience
• Computer science or engineering degree
