Legal Counsel

Responsibilities

• Provide legal advice on corporate matters including company law, governance, restructurings, and transactions
• Lead the legal setup of new entities across the GCC, coordinating with local counsel as needed
• Manage corporate governance, board correspondence, resolutions, minutes, and statutory filings
• Act as the central point for company secretarial activities and maintain shareholder documentation
• Lead the design and implementation of an employee share scheme
• Draft, review, and negotiate commercial contracts including vendor, partnership, and licensing agreements
• Manage external legal advisors and coordinate with regulatory authorities across various jurisdictions
• Advise on risk and regulatory compliance and support dispute resolution

Requirements

• Law degree and admission to practice in a relevant jurisdiction
• 3-5 years PQE in corporate legal roles, either in-house or within a reputable corporate team at a UAE firm
• Strong experience in corporate governance and entity management, ideally within GCC jurisdictions (UAE mainland, ADGM, DIFC, KSA, Bahrain)
• Proven experience drafting and negotiating commercial agreements
• Ability to work across multiple jurisdictions and manage local counsel
• Pragmatic, commercial mindset suitable for a fast-paced environment
• Arabic language skills are strongly preferred
• Must be currently based in the UAE and immediately available

Benefits

• Monthly salary of AED 25,000-30,000 depending on experience
