Responsibilities

• Lead the formation and structuring of investment funds including VC, PE, real estate, and hedge funds
• Draft, review, and negotiate core fund documents such as LPAs, PPMs, and side letters
• Advise on fund economics and governance including carry structures and waterfalls
• Manage securities and regulatory filings including Form D and Blue Sky filings
• Design and maintain compliance frameworks for marketing and allocations
• Provide day-to-day legal support for fund operations like capital calls and distributions
• Coordinate with administrators, tax advisors, and internal finance teams
• Oversee ongoing entity maintenance and corporate approvals
• Help build and refine playbooks, templates, and processes

Requirements

• J.D. from an accredited law school
• Licensed to practice law in at least one U.S. jurisdiction
• 5–10+ years of relevant experience in fund formation and investment management
• Deep familiarity with VC/PE fund structures and LP/GP constructs
• Expertise in LPAs, PPMs, side letters, and subscription documentation
• Strong knowledge of SEC and securities compliance for private fund offerings
• Experience with co-investment vehicles and SPVs
• Excellent drafting, negotiation, and communication skills
• Ability to work in a fast-paced, entrepreneurial environment
